Rules on Administration of Representative Offices of Foreign Insurance
Institutions
第一章 總則
Chapter I General Provisions
第一條 為了加強(qiáng)對外國保險(xiǎn)機(jī)構(gòu)駐華代表機(jī)構(gòu)（以下簡稱“代表機(jī)構(gòu)”）的管理，適應(yīng)中國保險(xiǎn)市場對外開放的需要，根據(jù)《中華人民共和國保險(xiǎn)法》，制定本辦法。
Article 1 These rules are formulated in accordance with the Insurance Law of
the People’s Republic of China, and for the purpose of strengthening the
administration of representative offices of foreign insurance institutions
(hereinafter referred to as “representative offices”), and meeting the needs of
the opening up of China’s insurance market to the outside world.
第二條 本辦法所稱外國保險(xiǎn)機(jī)構(gòu)，是指在中國境外注冊的保險(xiǎn)公司、再保險(xiǎn)公司、保險(xiǎn)中介機(jī)構(gòu)、保險(xiǎn)協(xié)會(huì)及其它保險(xiǎn)組織。
Article 2 Foreign insurance institutions hereof referred to in these rules are
those insurance companies, reinsurance companies, insurance intermediaries,
insurance associations, and other insurance organizations incorporated outside
the territory of the People’s Republic of China.
本辦法所稱代表機(jī)構(gòu)，是指外國保險(xiǎn)機(jī)構(gòu)在中國境內(nèi)獲準(zhǔn)設(shè)立并從事聯(lián)絡(luò)、市場調(diào)查等非經(jīng)營性活動(dòng)的代表處、總代表處。
Representative offices hereof referred to in these rules are both
representative offices and general representative offices established by foreign
insurance institutions within Chinese territory for the purpose of conducting
such non-operational activities as liaison service and market research etc.
本辦法所稱首席代表，是指代表處的主要負(fù)責(zé)人；本辦法所稱總代表，是指總代表處的主要負(fù)責(zé)人。
Chief Representative hereof referred to in these rules is the principal
responsible person of the representative office, and the general representative
is the principal responsible person of the general representative office.
第三條 代表機(jī)構(gòu)必須遵守中國法律、法規(guī)和中國保險(xiǎn)監(jiān)督管理委員會(huì)（以下簡稱“中國保監(jiān)會(huì)”）的有關(guān)規(guī)定。代表機(jī)構(gòu)的合法權(quán)益受中國法律保護(hù)。
Article 3 Representative offices shall abide by Chinese laws and regulations
and related regulations made by China Insurance Regulatory Commission
(hereinafter referred to as “CIRC”) and their legitimate rights and interests
are protected by Chinese laws.
第四條 中國保監(jiān)會(huì)根據(jù)法律和國務(wù)院授權(quán)，對代表機(jī)構(gòu)履行監(jiān)管職責(zé)。
Article 4 CIRC is authorized by law and the State Council to perform
regulatory responsibilities over the representative offices.
中國保監(jiān)會(huì)派出機(jī)構(gòu)，在中國保監(jiān)會(huì)授權(quán)范圍內(nèi)，代表中國保監(jiān)會(huì)對本轄區(qū)的代表機(jī)構(gòu)實(shí)施日常監(jiān)管。
Under the authorization scope of CIRC, the local branch offices of CIRC take
general regulation of those representative offices that are located in their
jurisdictions on behalf of CIRC.
第二章 申請與設(shè)立
Chapter Ⅱ Application and Establishment
第五條 申請?jiān)O(shè)立代表處的外國保險(xiǎn)機(jī)構(gòu)（以下簡稱“申請者”）應(yīng)當(dāng)具備下列條件：
Article 5 Foreign insurance institutions (hereinafter referred to as “the
applicant”) applying to establish a representative office shall satisfy the
following requirements:
?。ㄒ唬┙?jīng)營狀況良好；
(1) Good business performance;
?。ǘ┥暾堉涨?年內(nèi)無重大違法違規(guī)記錄；
(2) No record of any major violation of laws and regulations within three
years prior to the application date;
?。ㄈ┲袊１O(jiān)會(huì)規(guī)定的其他審慎性條件。
(3) Other prudential requirements stipulated by CIRC.
第六條 擬設(shè)代表處的正式申請表由中國保監(jiān)會(huì)提供。
Article 6 The formal application form for the establishment of representative
office is provided by CIRC.
第七條 申請者應(yīng)當(dāng)提交下列材料：
Article 7 The applicant shall submit the following documents:
?。ㄒ唬┱缴暾埍?；
(1) The formal application form;
?。ǘ┯啥麻L或者總經(jīng)理簽署的致中國保監(jiān)會(huì)主席的申請書；
(2) A letter of application addressed to the Chairman of CIRC and signed by
its Chairman of the Board of Directors or General Manager of the concerned
insurance institution;
（三）所在國家或者地區(qū)有關(guān)主管當(dāng)局核發(fā)的營業(yè)執(zhí)照或者合法開業(yè)證明或者注冊登記證明的復(fù)印件；
(3) A photocopy of the business license or the certificate of authorization
for insurance business, or the registry certificate issued by the relevant
regulatory authorities of its home country or territory;
?。ㄋ模C(jī)構(gòu)章程，董事會(huì)成員名單、管理層人員名單或者主要合伙人名單；
(4) Articles of association and the name list of the members of the Board of
Directors, management personnel or principal partners;
?。ㄎ澹┥暾堉涨?年的年報(bào)；
(5) Annual reports of the last three years prior to the application;
?。┧趪一蛘叩貐^(qū)有關(guān)主管當(dāng)局出具的對申請者在中國境內(nèi)設(shè)立代表處的意見書，或者由所在行業(yè)協(xié)會(huì)出具的推薦信，意見書或者推薦信應(yīng)當(dāng)陳述申請者在出具意見書或者推薦信之日前3年受處罰的記錄；
(6) A letter of permit issued by the competent authority of its home country
or territory allowing it to set up a representative office in China, or a letter
of recommendation from the industrial association of which the applicant is a
member, and both types of letters shall contain information about the penalty
records of the applicant received within three years prior to the application;
（七）由董事長或者總經(jīng)理簽署的首席代表授權(quán)書；
(7) A power of attorney signed by the Chairman of the Board or General Manager
for the chief representative designated;
（八）擬任首席代表的簡歷以及相關(guān)證明材料；
(8) The resume of the designated chief representative and other relevant
supporting documents;
（九）中國保監(jiān)會(huì)規(guī)定提交的其他資料。
(9) Other documents and materials required by CIRC.
“營業(yè)執(zhí)照”、“合法開業(yè)證明”和 “注冊登記證明”的復(fù)印件必須經(jīng)其所在國家或者地區(qū)依法設(shè)立的公證機(jī)構(gòu)公證或者經(jīng)中國駐該國使、領(lǐng)館認(rèn)證。
The photocopy of the business license or the certificate of authorization for
insurance business, or the registry certificate shall be subject to notarization
certified by the applicant’s home country or territory or verification by the
resident Embassy or Consulate of the People’s Republic of China in the
applicant’s home country or territory.
第八條 申請者應(yīng)當(dāng)向中國保監(jiān)會(huì)提交申請材料。對擬設(shè)代表處的申請，中國保監(jiān)會(huì)應(yīng)當(dāng)根據(jù)下列情況分別處理：
Article 8 The applicant shall submit its application documents to CIRC. CIRC
shall handle all the applications according to the following conditions:
?。ㄒ唬┥暾埐牧洗嬖诳梢援?dāng)場更正的錯(cuò)誤的，應(yīng)當(dāng)允許申請人當(dāng)場更正；
(1) If the document has a mistake (mistakes) that can be corrected on the
spot, the applicant shall be allowed to make the correction on the spot;
?。ǘ┥暾埐牧喜积R全或者不符合法定形式的，應(yīng)當(dāng)當(dāng)場或者在5日內(nèi)一次告知申請人需要補(bǔ)正的全部內(nèi)容，逾期不告知的，自收到申請材料之日起即為受理；
(2) If the document is incomplete or does not comply with regulatory formats,
the applicant shall be informed on the spot or within five days of all the
required corrections at one time. If the applicant is not informed of such
information in this period, then it is assumed that the application is accepted
for review on the day it is received by CIRC;
?。ㄈ┥暾埐牧淆R全、符合法定形式，或者申請人按照要求提交全部補(bǔ)正申請材料的，應(yīng)當(dāng)受理申請。
(3) If the document is complete and complies with regulatory formats, or after
the applicant, upon request, has submitted additional documents and made
necessary corrections, then the application shall be accepted for review.
中國保監(jiān)會(huì)受理或者不予受理申請，應(yīng)當(dāng)出具加蓋專用印章和注明日期的書面憑證。
Whether or not CIRC accepts the application for review, CIRC shall issue a
written document with designated stamp and date indicated.
第九條 中國保監(jiān)會(huì)應(yīng)當(dāng)自受理申請之日起20日內(nèi)，作出批準(zhǔn)或者不予批準(zhǔn)的決定。
Article 9 Within 20 days from the date of receiving the application letter,
CIRC shall make a decision on whether or not to approve.
20日內(nèi)不能作出決定的，經(jīng)中國保監(jiān)會(huì)主席批準(zhǔn)，可以延長10日，并應(yīng)當(dāng)將延長期限的理由告知申請人。
If the decision can not be made in the said 20 days, at the approval of the
Chairman of CIRC, the said period can be extended 10 more days and the applicant
shall be informed of reasons for the extension.
決定批準(zhǔn)的，頒發(fā)批準(zhǔn)書；決定不予批準(zhǔn)的，應(yīng)當(dāng)書面說明理由。
If CIRC decides to approve the application, it shall issue an approval
document; in case of disapproval, CIRC shall state reasons in a written
document.
第十條 代表處領(lǐng)取批準(zhǔn)書后，應(yīng)當(dāng)按有關(guān)規(guī)定辦理工商登記。
Article 10 After a representative office receiving the official document of
approval, it shall register with the State Administration of Industry and
Commerce in line with relevant rules.
代表處應(yīng)當(dāng)自領(lǐng)取批準(zhǔn)書之日起3個(gè)月內(nèi)遷入固定的辦公場所；
The representative office shall move into its official premises within three
months from the date on which the approval document is issued;
超過3個(gè)月仍未遷入固定辦公場所的，原批準(zhǔn)書自動(dòng)失效。
the approval document shall automatically become invalid if the said deadline
is not observed.
第十一條 在中國境內(nèi)已設(shè)立2個(gè)以上代表處的外國保險(xiǎn)機(jī)構(gòu)，可以向中國保監(jiān)會(huì)提出申請，指定其中一個(gè)代表處為總代表處。
Article 11 Any foreign insurance institution that has already established no
less than two representative offices in China shall be allowed to apply to CIRC
to appoint one of its representative offices as a general representative office.
第十二條 外國保險(xiǎn)機(jī)構(gòu)申請指定總代表處，應(yīng)當(dāng)提交由董事長或者總經(jīng)理簽署的致中國保監(jiān)會(huì)主席的申請書。
Article 12 In applying to appoint the general representative office, foreign
insurance institutions shall submit a letter of application addressed to the
Chairman of CIRC and signed by its Chairman of the Board of Directors or General
Manager of the concerned insurance institution.
總代表處的設(shè)立程序與代表處的設(shè)立程序相同。
The application for setting up a general representative office is subject to
the same rules governing the application of a representative office.
第三章 監(jiān)督管理
Chapter Ⅲ Supervision and Administration
第十三條 代表處的名稱應(yīng)當(dāng)依次由下列內(nèi)容組成：“外國保險(xiǎn)機(jī)構(gòu)名稱”、“所在城市名稱”和“代表處”；
Article 13 The official title of the representative office shall be arranged
in the following order: name of the foreign insurance institution + name of the
city where the representative office is to be located + representative office;
總代表處的名稱應(yīng)當(dāng)依次由下列內(nèi)容組成：“外國保險(xiǎn)機(jī)構(gòu)名稱”和“駐中國總代表處”。
The official title of the representative office shall be arranged in the
following order: name of the foreign insurance institution + general
representative office in China.
第十四條 代表機(jī)構(gòu)除主要負(fù)責(zé)人外，其他主要工作人員應(yīng)當(dāng)稱 “代表”、“副代表”。
Article 14 Except the principal responsible person, other major staff members
shall be entitled “Representative” or “Deputy Representative”.
第十五條 代表機(jī)構(gòu)工作人員應(yīng)當(dāng)遵守中國的法律法規(guī)，品行良好，無不良記錄。
Article 15 Employees of representative office shall abide by Chinese laws and
regulations, with high integrity and clean record.
第十六條 總代表應(yīng)當(dāng)具備8年以上工作經(jīng)歷、大學(xué)?？埔陨蠈W(xué)歷；
Article 16 A general representative shall have a work experience above 8 years
and hold a junior college degree or a higher academic degree;
首席代表應(yīng)當(dāng)具備５年以上工作經(jīng)歷、大學(xué)?？埔陨蠈W(xué)歷。
a chief representative shall have a work experience above 5 years, and hold a
junior college degree or a higher academic degree.
總代表和首席代表不具備大學(xué)?？埔陨蠈W(xué)歷的，應(yīng)當(dāng)具備10年以上保險(xiǎn)從業(yè)經(jīng)歷。
Without a junior college degree, the general representative or chief
representative shall have a work experience above 10 years in the insurance
business.
第十七條 每個(gè)代表機(jī)構(gòu)的外籍工作人員最多不得超過3人。
Article 17 A maximum of three employees of foreign nationality are allowed in
each representative office.
第十八條 代表機(jī)構(gòu)及其工作人員，不得與任何法人或者自然人簽訂可能給代表機(jī)構(gòu)或者所代表的外國保險(xiǎn)機(jī)構(gòu)帶來收入的協(xié)議或者契約，也不得參與任何經(jīng)營性活動(dòng)。
Article 18 A representative office and its employees shall not enter into any
agreement or contract with any legal or natural persons, which might generate an
income to the representative office or the foreign insurance institution it
represents, and shall not be involved in business activities of any kind.
第十九條 代表機(jī)構(gòu)應(yīng)當(dāng)有獨(dú)立、固定的辦公場所和專職的工作人員。
Article 19 A representative office shall have official premises, necessary
office facilities and full-time staff.
第二十條 總代表或首席代表不得在2個(gè)以上代表機(jī)構(gòu)中任職；也不得在中國境內(nèi)任何經(jīng)營性機(jī)構(gòu)中任職。
Article 20 The General Representative or Chief Representative shall not work
in two or more representative offices or any business institution in China.
第二十一條 總代表或者首席代表應(yīng)當(dāng)常駐代表機(jī)構(gòu)主持日常工作，離開代表機(jī)構(gòu)連續(xù)1個(gè)月以上的，應(yīng)當(dāng)指定專人代行其職，并書面報(bào)告當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)。
Article 21 The General Representative or Chief Representative shall attend to
the daily activities of the representative office on a permanent basis. If he or
she consecutively stays away from the representative office for a period or more
than one month, he or she shall delegate his or her responsibility as the
General Representative or Chief Representative to a person specially appointed,
and submit a written report to the local branch office of CIRC.
第二十二條 代表機(jī)構(gòu)應(yīng)當(dāng)在每年２月底前向當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)報(bào)送上一年度的工作報(bào)告一式兩份，由中國保監(jiān)會(huì)派出機(jī)構(gòu)轉(zhuǎn)報(bào)中國保監(jiān)會(huì)。
Article 22 A representative office shall submit two copies of its annual work
report of the previous year before the end of each February to the CIRC’s local
branch office, who shall then forward the report to CIRC’s head office.
工作報(bào)告應(yīng)當(dāng)按中國保監(jiān)會(huì)規(guī)定的格式填寫。
The work report shall follow the format prescribed by CIRC.
第二十三條
代表機(jī)構(gòu)每年在其代表的外國保險(xiǎn)機(jī)構(gòu)會(huì)計(jì)年度結(jié)束后的6個(gè)月內(nèi)，應(yīng)當(dāng)分別向中國保監(jiān)會(huì)和當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)報(bào)送其所代表的外國保險(xiǎn)機(jī)構(gòu)上一年度的年報(bào)。
Article 23 A representative office shall submit the annual report of the
foreign insurance institution it represents to both CIRC and CIRC’s local branch
office within six months after the end of each accounting year of the foreign
insurance institution.
第二十四條 代表機(jī)構(gòu)代表的外國保險(xiǎn)機(jī)構(gòu)有下列情形之一的，代表機(jī)構(gòu)應(yīng)當(dāng)自事件發(fā)生之日起10日內(nèi)，向中國保監(jiān)會(huì)提交書面報(bào)告，同時(shí)抄報(bào)當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)：
Article 24 If any following major event occurs in an insurance institution
that has maintained a representative office in China, the representative office
shall, within 10 days after the occurrence of the event, submit a written report
to CIRC and copy the report to CIRC’s local branch office.
?。ㄒ唬┕菊鲁?、注冊資本或者注冊地址變更；
(1) A change in its articles of association, register capital, and registered
business address;
?。ǘ┓至ⅰ⒑喜⒒蛘咧饕?fù)責(zé)人變動(dòng)；
(2) Division or merger or change of top management;
?。ㄈ┙?jīng)營嚴(yán)重虧損；
(3) Serious losses resulted in business operation;
?。ㄋ模┮蜻`法、違規(guī)行為受到處罰；
(4) Penalties imposed for violations of laws and regulations;
（五）外國保險(xiǎn)機(jī)構(gòu)所在國家或者地區(qū)的有關(guān)主管當(dāng)局對其實(shí)施重大監(jiān)管措施；
(5) Major regulatory actions taken against it by the regulatory authorities of
its home country or territory;
?。?jīng)營有重大影響的其他事項(xiàng)。
(6) Other matters which may seriously disrupt business operation of the
foreign insurance institution.
第二十五條 代表機(jī)構(gòu)更換總代表或者首席代表的，應(yīng)當(dāng)向中國保監(jiān)會(huì)申請，并提交下列材料：
Article 25 In case of changing a General Representative or Chief
Representative, the representative office shall apply to CIRC, and submit the
following documents:
?。ㄒ唬┯善浯淼耐鈬ｋU(xiǎn)機(jī)構(gòu)董事長或者總經(jīng)理簽署的致中國保監(jiān)會(huì)主席的申請書；
(1) A letter of application addressed to the Chairman of CIRC, and signed by
its Chairman of the Board of Directors or General Manager of the concerned
insurance institution;
?。ǘ┯善浯淼耐鈬ｋU(xiǎn)機(jī)構(gòu)董事長或者總經(jīng)理簽署的擬任總代表或者首席代表的授權(quán)書；
(2) Power of attorney of the proposed General Representative or chief
representative signed by the Chairman of the Board of Directors or General
Manager;
?。ㄈM任總代表或者首席代表的身份證明、學(xué)歷證明和簡歷。
(3) Proof of personal identity certificates, certificate of academic degree
and resume of the proposed General Representative or Chief Representative.
第二十六條 代表機(jī)構(gòu)撤銷的，應(yīng)當(dāng)由代表機(jī)構(gòu)向中國保監(jiān)會(huì)申請，并提交由其所代表的外國保險(xiǎn)機(jī)構(gòu)董事長或者總經(jīng)理簽署的致中國保監(jiān)會(huì)主席的申請書。
Article 26 If a foreign insurance institution intends to terminate its
representative office’s operation, it shall submit a letter of application
addressed to the Chairman of CIRC, and signed by its Chairman of the Board of
Directors or General Manager of the concerned insurance institution.
第二十七條 代表機(jī)構(gòu)變更名稱，應(yīng)當(dāng)向中國保監(jiān)會(huì)申請，并提交由其所代表的外國保險(xiǎn)機(jī)構(gòu)董事長或者總經(jīng)理簽署的致中國保監(jiān)會(huì)主席的申請書以及相關(guān)更名證明。
Article 27 If a foreign insurance institution intends to change the name of
its representative office, it shall submit a letter of application addressed to
the Chairman of CIRC, and signed by its Chairman of the Board of Directors or
General Manager of the concerned insurance institution, together with other
relevant proving documents about the renaming.
第二十八條
代表機(jī)構(gòu)出現(xiàn)本辦法第二十五條、第二十六條、第二十七條規(guī)定情形向中國保監(jiān)會(huì)提出申請的，中國保監(jiān)會(huì)應(yīng)當(dāng)自收到完整申請材料之日起20日內(nèi)，作出批準(zhǔn)或者不予批準(zhǔn)的決定。
Article 28 Under the situation stipulated in Article 25, Article 26, and
Article 27, CIRC shall make a decision on whether to approve or disapprove of
the application within 20 days from the date of receiving a complete set of
application documents.
決定批準(zhǔn)的，頒發(fā)批準(zhǔn)書；決定不予批準(zhǔn)的，應(yīng)當(dāng)書面說明理由。
If a decision of approval is made, it shall issue an approval document; if a
decision of disapproval is made, it shall notify the applicant in writing and
give the reasons.
第二十九條 代表機(jī)構(gòu)只能在所在城市的行政轄區(qū)內(nèi)變更辦公地址。
Article 29 A representative office can change its office location within the
same administrative area it resides only.
代表機(jī)構(gòu)應(yīng)當(dāng)自變更辦公地址之日起5日內(nèi)向當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)報(bào)告，并提交新辦公地址的電話和傳真號碼。
The concerned representative office shall submit CIRC’s local branch office of
its new office address, telephone and fax numbers within 5 days from the date of
changing.
第三十條
代表機(jī)構(gòu)更換或者增減代表、副代表、外籍工作人員，應(yīng)當(dāng)自更換或者增減人員之日起5日內(nèi)向當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)報(bào)告，并提交被任命人員的身份證明、學(xué)歷證明和簡歷。
Article 30 In case of changing, increasing or reducing the number of
Representatives, Deputy Representatives, or foreign employees, the concerned
representative office shall report to CIRC’s local branch office within 5 days
from the date of changing, and submit the proof of personal identity
certificates, certificate of academic degree and resume of the nominated
personnel.
第三十一條 代表處經(jīng)批準(zhǔn)變更為總代表處的，原代表處自動(dòng)撤銷，總代表處應(yīng)當(dāng)自中國保監(jiān)會(huì)批準(zhǔn)變更之日起1個(gè)月內(nèi)辦理代表處的工商注銷手續(xù)。
Article 31 When a representative office is approved to be changed to a general
representative office, the original representative office is cancelled
automatically. The general representative office shall apply to the State
Administration of the Industry and Commerce for cancellation of the registration
of the representative office within one month from the date of CIRC’s approval
within one month from the date of CIRC’s approval.
第三十二條 外國保險(xiǎn)機(jī)構(gòu)的代表處撤銷后，總代表處是其惟一駐華代表機(jī)構(gòu)的，總代表處應(yīng)當(dāng)將總代表處變更為代表處。
Article 32 If a general representative office is the only representative
office in China after the insurance institution it represents withdraws all
other representative offices, the general representative office shall be changed
into a representative office.
總代表處應(yīng)當(dāng)向中國保監(jiān)會(huì)提出變更申請，并提交由其所代表的外國保險(xiǎn)機(jī)構(gòu)董事長或者總經(jīng)理簽署的申請書。
The general representative office shall apply to CIRC by submitting an
application letter regarding such change signed by the Chairman of the Board of
Directors or General Manager of the concerned foreign insurance institution.
中國保監(jiān)會(huì)應(yīng)當(dāng)自收到申請書之日起20日內(nèi)，作出批準(zhǔn)或者不予批準(zhǔn)的決定。
Within 20 days from the date of receiving the application letter, CIRC shall
make a decision on whether or not to approve.
決定批準(zhǔn)的頒發(fā)批準(zhǔn)書；決定不予批準(zhǔn)的應(yīng)當(dāng)書面說明理由。
If CIRC decides to accept the application, it shall issue an approval
document; in case of disapproval, CIRC shall state reasons in a written
document.
總代表處經(jīng)批準(zhǔn)變更為代表處的，總代表處自動(dòng)撤銷，代表處應(yīng)當(dāng)自中國保監(jiān)會(huì)批準(zhǔn)變更之日起1個(gè)月內(nèi)辦理總代表處的工商注銷手續(xù)。
When a general representative office is approved to be changed to a
representative office, the original general representative office is cancelled
automatically. The representative office shall apply to the State Administration
of the Industry and Commerce for cancellation of its registration within one
month from the date of CIRC’s approval.
第三十三條 代表處撤銷后，其代表的外國保險(xiǎn)機(jī)構(gòu)設(shè)有總代表處的，由總代表處負(fù)責(zé)未了事宜；
Article 33 After a representative office of the foreign insurance institution
is terminated by the CIRC, all the issues left unsettled shall be taken over and
handled by its general representative office in China;
沒有設(shè)立總代表處的，由其代表的外國保險(xiǎn)機(jī)構(gòu)的其他代表處負(fù)責(zé)未了事宜；
if there is no such a general representative office, responsibilities on all
issues left unsettled shall be taken over and handled by the foreign insurance
institution’s other representative offices in China;
其代表的外國保險(xiǎn)機(jī)構(gòu)的所有代表機(jī)構(gòu)均已撤銷的，由其代表的外國保險(xiǎn)機(jī)構(gòu)負(fù)責(zé)未了事宜。
if there is no any other representative office in China, responsibilities on
all issues left unsettled shall be borne by the foreign insurance institution
itself.
第三十四條 中國保監(jiān)會(huì)及其派出機(jī)構(gòu)依法對代表機(jī)構(gòu)進(jìn)行日常和年度檢查。日常和年度檢查的內(nèi)容包括：
Article 34 CIRC and its local branch offices conduct general supervision and
annual inspection over the representative offices of foreign institutions in
regard to the following issues:
?。ㄒ唬┐頇C(jī)構(gòu)變更事項(xiàng)的手續(xù)是否完備；
(1) The completeness of the procedures for the changes made by the
representative office;
?。ǘ└黜?xiàng)申報(bào)材料的內(nèi)容與實(shí)際情況是否相符；
(2) The truthfulness of the documents and materials submitted to CIRC;
?。ㄈ┐頇C(jī)構(gòu)工作人員的任用或者變更手續(xù)是否完備；
(3) The completeness of the procedures for the appointments or changes of
staff members of representative offices;
（四）代表機(jī)構(gòu)是否從事經(jīng)營性活動(dòng)；
(4) Whether or not representative offices are conducting business activities;
?。ㄎ澹┲袊１O(jiān)會(huì)及其派出機(jī)構(gòu)認(rèn)為需要檢查的其他事項(xiàng)。
(5) Other items required by CIRC and its local branch offices.
第四章 法律責(zé)任
Chapter Ⅳ Legal Liability
第三十五條 違反本辦法，未經(jīng)批準(zhǔn)擅自設(shè)立代表機(jī)構(gòu)的，中國保監(jiān)會(huì)依法予以取締。
Article 35 Any representative office established without approval, in
violation of certain provisions of these Rules, shall be banned by CIRC in
accordance with law.
第三十六條 違反本辦法規(guī)定從事保險(xiǎn)經(jīng)營活動(dòng)的，由中國保監(jiān)會(huì)按照有關(guān)法律、法規(guī)的規(guī)定予以處罰；
Article 36 If a representative office is engaged in financial business
activities in violation of these Rules, it shall be punished by CIRC in line
with relevant laws and regulations.
從事保險(xiǎn)業(yè)以外經(jīng)營性活動(dòng)的，由中國保監(jiān)會(huì)給予警告，情節(jié)嚴(yán)重的，處以3萬元以下的罰款。
If a representative office is engaged in profit-seeking operational activities
other than insurance business, it shall be imposed a disciplinary warning or a
fine below RMB 300,000 yuan.
第三十七條 未按規(guī)定提交本辦法第二十二條、第二十三條、第二十四條要求的報(bào)告或者材料的，由當(dāng)?shù)刂袊１O(jiān)會(huì)派出機(jī)構(gòu)給予警告，責(zé)令改正。
Article 37 If a representative office fails to submit relevant reports or
documents as stipulated in Article 22, 23, 24 of these Rules to CIRC, it shall
be imposed a warning and ordered to make correction by CIRC’s local branch
office.
第三十八條 對違反本辦法的行為負(fù)有直接責(zé)任的代表機(jī)構(gòu)工作人員，由中國保監(jiān)會(huì)根據(jù)情節(jié)輕重，處以警告，單處或者并處5000元以下的罰款。
Article 38 Employees of a representative office being with direct
responsibility for activities violating these Rules shall be imposed by CIRC
with a disciplinary warning and /or a fine below RMB 5000 yuan, according to the
seriousness of the cases.
第三十九條 代表機(jī)構(gòu)提供虛假信息或者隱瞞重要事實(shí)的，給予警告。
Article 39 CIRC may issue a disciplinary warning to a representative office
involved in providing false information or concealing important facts.
第四十條 違反本辦法其他規(guī)定的，責(zé)令改正；逾期未改正的，給予警告。
Article 40 CIRC may order the representative offices, found in violation of
other provisions stipulated in these Rules, to make corrections; those who do
not make corrections within a prescribed time period shall be issued a
disciplinary warning.
第五章 附則
Chapter Ⅴ Supplementary Provisions
第四十一條 香港、澳門和臺灣地區(qū)的保險(xiǎn)機(jī)構(gòu)在內(nèi)地設(shè)立的代表機(jī)構(gòu)，比照適用本辦法。
Article 41 These Rules shall, mutatis mutandis, apply to the representative
offices established in the mainland by insurance institutions from the Hong Kong
Special Administrative Region, the Macao Special Administrative Region, and
Taiwan region.
第四十二條 經(jīng)中國保監(jiān)會(huì)批準(zhǔn)設(shè)立的外國保險(xiǎn)機(jī)構(gòu)駐華辦事處，比照適用本辦法。
Article 42 These Rules shall, mutatis mutandis, apply to the resident offices
of foreign insurance institutions approved to establish in China by CIRC.
第四十三條 本辦法所稱“以上”、“以下”、“以內(nèi)”，包括本數(shù)。
Article 43 The terms “above”, “below” and “within” used to indicate a
threshold number shall include the number itself.
第四十四條 本辦法有關(guān)批準(zhǔn)、報(bào)告期間的規(guī)定是指工作日，不含節(jié)假日。
Article 44 The approval and reporting periods prescribed in these Rules
concerning licensing and reporting periods refer to working days, which exclude
weekends and public holidays.
第四十五條 本辦法由中國保監(jiān)會(huì)負(fù)責(zé)解釋。
Article 45 CIRC shall be responsible for the interpretation of these Rules.
第四十六條 本辦法自2004年3月1日起施行。中國保監(jiān)會(huì)1999年11月26日發(fā)布的《外資保險(xiǎn)機(jī)構(gòu)駐華代表機(jī)構(gòu)管理辦法》同時(shí)廢止。
Article 46 These Rules shall be effective as of March 1, 2004, and the Rules
on Administration of Representative Offices of Foreign Insurance Institutions,
issued by CIRC on November 26, 1999 shall be repealed simultaneously.
